We represented two foreign construction concerns, being members of a consortium responsible for expansion of the Underground Gas Storage Facility in Wierzchosławice, i.e. an investment of key importance to the country’s energy security. The aim of the project was to increase the active capacity of the storage facility from 575 million m³ to 1.2 billion m³, and the contract value exceeded a billion zlotys.
Our support consisted in the provision of comprehensive legal services, including:
We handled a challenging case involving the division of marital assets of significant value, including numerous real properties located in major Polish cities, seaside resorts and southern Europe. Some of these properties were leased, so the whole process required carrying out a comprehensive due diligence, taking into account their legal status, market value and existing lease agreements.
The division also included an extensive investment portfolio, inter alia financial instruments and shares of companies listed on Polish and foreign stock exchanges. Thanks to a thorough legal and financial analysis and effective negotiations, the case was concluded with a settlement, providing both parties with a satisfactory and fair resolution. As a result of the division by agreement, it was possible to avoid a complex and costly lawsuit.
We represented the British company, Eurokey Recycling, as legal advisors on the seller’s side in the transaction of sale of its shares to Reconomy, an international group specialising in solutions in the field of waste management and sustainable development.
Our assistance included:
The transaction was managed by lawyers of the Masiota Law Firm, including Hubert Masiota and Marcin Dybowski, the latter responsible for issues related to environmental law.
The main focus of our actions was to locate and identify the exact components of the estate, including real properties scattered throughout Poland – plots of land, apartments and commercial buildings, as well as an operating enterprise.
The enterprise, being a part of the estate, required a detailed legal and financial analysis. We examined its organisational situation, assets, liabilities and market potential. Thanks to our efforts, it was possible to precisely estimate the company’s value and include it in the division of assets, thus ensuring fair and favourable repayment terms for our clients.
We advised the Austrian company, Isosport Verbundbauteile Gesellschaft m.b.H., being a member of the Constantia Industries AG. Group, in the transaction of sale by the fund Avallon MBO PE of 100 percent of shares in Novo Tech sp. z o.o.
Novo Tech is a leading manufacturer of high-quality plastic products, with its production plants located in Poland and Romania, and an extra sales point in Belgium.
Our advisory services included the legal due diligence process of Novo Tech sp. z o.o. and assistance in developing transaction documentation with regard to Polish law.
We represented a foreign holding company in a greenfield investment worth tens of millions of euros, including the acquisition of land in an industrial park and the construction of a new industrial facility.
Our assistance included establishing a special-purpose vehicle in Poland, obtaining any necessary administrative permits, providing tax advice, negotiating and concluding a contract with the general contractor, as well as supporting the recruitment of key employees.
Thanks to our expertise and commitment, our client was able to successfully complete the investment, meeting both local legal requirements and their own strategic business goals.
We represented a manager of a well-known company manufacturing and selling household appliances in a dispute concerning the calculation of sales commission. The Court supported our interpretation of the contract, finding our client’s claims justified and awarding him a commission fee exceeding one million zlotys. Thanks to our effective representation, the awarded amount was paid to the client in full.
